CARVEXA Independent Seller Authorisation Agreement
The standing agreement between an organisation and an authorised independent seller, accepted electronically by both parties.
Draft — prepared by CARVEXA for review by a qualified South African legal practitioner. It outlines our intended approach and must not be relied on as final legal advice until reviewed.
1. Parties and purpose
This agreement is made between the organisation (identified by its CARVEXA-registered name and verification status) and the authorised seller (identified by their CARVEXA-verified identity), to record the scope of authority under which the seller may sell vehicles on the organisation's behalf through CARVEXA.
2. Verification status recorded
The agreement records both parties' CARVEXA verification statuses (identity, mobile, email, business/organisation) at the time of approval. Identity verification never automatically grants Trusted Seller status.
3. Scope of authority
- Permission level: Marketing Agent (Level 1), Sales Agent (Level 2) or Authorised Sales Representative (Level 3).
- Permitted activities: exactly those approved by the organisation (listing, marketing, enquiries, appointments, test drives, negotiation, offers — as applicable).
- Restricted activities: receiving organisation funds, changing ownership, signing ownership-transfer documents, accepting final sale terms unless authorised, altering vehicle ownership information, removing organisation vehicles, accessing organisation financial information, or instructing buyers to pay into personal accounts.
- Authorisation period: 30 days, 90 days, 6 months, 12 months or until revoked, with the recorded expiry.
4. Responsibilities
- Seller: accurate representation, using only authorised information, not misrepresenting authority, not collecting unauthorised payments, protecting customer information, following organisation instructions and CARVEXA rules.
- Organisation: vehicle ownership and authority, accuracy of vehicle information, authorising representatives, pricing and sales approval, legal documentation, delivery and warranties.
- Commission arrangement: as separately agreed between the parties and recorded in the authorisation notes; CARVEXA is not a party to commission arrangements.
5. Vehicle information, advertising and misrepresentation
The seller may only use vehicle information supplied or approved by the organisation and must not change pricing or ownership information beyond their granted permissions. Misrepresenting authority, ownership or the vehicle is a material breach; the organisation may suspend or revoke immediately.
6. Audit records, expiry and termination
- Every material action under this agreement is recorded in the immutable audit trail (user, organisation, vehicle, action, old/new values, date and time).
- The authorisation expires automatically at the end of its period unless renewed.
- Either party may terminate by revocation/suspension; historical audit records survive termination.
7. Electronic acceptance
Both parties accept this agreement electronically — the organisation on approving the authorisation, the seller on accepting in their CARVEXA dashboard. The electronic record of acceptance, held by CARVEXA with timestamps, is proof of acceptance.
